1. Acceptance of Terms

By accessing or using Orbliq ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.

2. Description of Service

Orbliq provides a platform for:

• Uploading and managing artwork images
• 3D visualization of artwork with customizable frames and sizes
• AI-powered showroom mockup generation
• Sharing and embedding 3D artwork viewers
• Augmented Reality (AR) viewing capabilities

3. Account Registration

To use Orbliq, you must:

• Be at least 13 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Subscription Plans and Payments

4.1 Plans

We offer multiple subscription tiers (Free, Artist, Gallery) with varying features and limits. Details are available on our pricing page.

4.2 Billing

• Paid subscriptions are billed monthly in advance
• Prices are in USD and subject to change with notice
• Payment processing is handled by LemonSqueezy
• You authorize recurring charges for your subscription

4.3 Credits

• Monthly credits reset at each billing cycle
• Unused monthly credits do not roll over
• Pay-As-You-Go credits never expire
• Credits are non-transferable and non-refundable

4.4 Cancellation

• You may cancel your subscription at any time from Account settings
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months or unused credits
• Upon downgrade, excess projects may be locked (read-only)

5. User Content

5.1 Your Rights

You retain all ownership rights to the artwork and content you upload. By uploading content, you grant Orbliq a limited, non-exclusive, revocable license solely to store, process, display, and transmit your content as necessary to provide the Service. We do not claim ownership of your content and do not use it for training AI models, marketing, or any purpose beyond delivering the Service to you.

5.2 Your Responsibilities & Warranties

By uploading any content to Orbliq, you represent, warrant, and guarantee that:

• You are the original creator of the content, or you hold a valid license, permission, or legal right to use and upload the content
• Your content does not infringe upon any copyright, trademark, patent, trade secret, moral right, or other intellectual property or proprietary right of any third party
• You have obtained all necessary permissions from identifiable persons depicted in the content
• Your content does not violate any applicable laws, including German copyright law (Urheberrechtsgesetz – UrhG) and EU regulations
• Your content is not harmful, offensive, hateful, violent, or inappropriate

5.3 No Pre-Screening

Orbliq acts as a hosting service provider within the meaning of § 10 DDG and Article 14 of the EU Digital Services Act. We do not exercise editorial control over user-uploaded content. We do not pre-screen, moderate, or approve user-uploaded content before it is processed by our services. The responsibility for ensuring that uploaded content is lawful and does not infringe third-party rights lies solely with you.

5.4 Prohibited Content

You may not upload content that:

• Infringes copyright, trademark, or other intellectual property rights
• Is illegal, harmful, or promotes violence or terrorism
• Contains explicit adult content, pornography, or nudity
• Depicts or promotes child exploitation
• Contains hate speech or promotes discrimination
• Contains malware or malicious code
• Violates others' privacy or personal rights (Persönlichkeitsrechte)
• Is fraudulent, deceptive, or misleading

5.5 Repeat Infringer Policy

We maintain a strict repeat infringer policy. Users who repeatedly upload infringing content will have their accounts suspended or permanently terminated. Details are outlined in our Content Policy.

6. AI-Generated Content

Our showroom generation feature uses Google Gemini AI. Regarding AI-generated mockups:

• Generated images are provided for visualization purposes
• We do not guarantee specific results or quality
• You may use generated mockups for personal and commercial purposes
• AI outputs may vary and are subject to the AI provider's terms
• You are responsible for reviewing outputs before sharing

7. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or decompile our software
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization
• Abuse API rate limits or circumvent usage restrictions

8. Intellectual Property

The Orbliq platform, including its design, features, code, and branding, is owned by Orbliq and protected by intellectual property laws. You may not copy, modify, or distribute our platform without permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBLIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Orbliq, its operators, employees, partners, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including reasonable attorney's fees) arising from:

• Your uploaded content, including any copyright, trademark, or IP infringement claims brought by third parties regarding content you uploaded
• Your use or misuse of the Service
• Your violation of these Terms of Service or any applicable law
• Any third-party claim that your content caused damage to a third party
• Your violation of any third party's rights, including intellectual property rights

This indemnification obligation survives the termination of your account and these Terms.

12. Termination

We may suspend or terminate your account if you violate these terms. Upon termination:

• Your right to use the Service ends immediately
• We may delete your content and data
• You remain liable for any outstanding payments
• Sections that should survive termination will remain in effect

13. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.

14. Governing Law & Jurisdiction

These Terms of Service and any dispute arising from or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

If you are a merchant (Kaufmann), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be the courts at the registered seat of Orbliq in Germany.

For consumers within the EU, mandatory consumer protection provisions of your country of residence apply where they provide more favorable protection.
